1. Agreement
By accessing or using InvoiceEcho ("Service", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including waitlist members and account holders.
2. The Service
InvoiceEcho is an invoicing and automated payment follow-up tool for freelancers and small businesses. We provide tools to create invoices, send them to clients via email, and automatically follow up on overdue payments.
The Service is currently in private beta. Features, pricing, and availability may change without notice during this period.
3. Your Account
- You must be at least 18 years old to use the Service.
- You are responsible for maintaining the security of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must provide accurate information when creating your account.
- One person or legal entity may not maintain more than one free account.
4. Acceptable Use
You agree not to use the Service to:
- Send spam, harass, or threaten your clients or any third party
- Violate any applicable law or regulation
- Misrepresent your identity or business
- Attempt to gain unauthorised access to the Service or other users' accounts
- Reverse-engineer, decompile, or otherwise attempt to extract the source code
- Use the Service to process or facilitate fraudulent invoices
We reserve the right to suspend or terminate accounts that violate these terms.
5. Your Content
You retain full ownership of the invoices, client data, and other content you create using the Service ("Your Content"). By using the Service, you grant us a limited licence to store, process, and transmit Your Content solely to provide the Service to you.
You are solely responsible for the accuracy and legality of Your Content, including the invoices you send and the claims they make.
6. Client Emails
The Service sends emails to your clients on your behalf. You represent that:
- You have a legitimate business relationship with each client you add
- You have the right to contact them at the provided email address
- The amounts and descriptions on your invoices are accurate and honest
We are not liable for any disputes between you and your clients.
7. Pricing & Payment
Pricing details are available on the pricing section of our website. During the beta period, access may be provided at no charge. We will give you reasonable notice before introducing or changing paid plans.
All fees are non-refundable except as required by law or as explicitly stated in a refund policy we publish.
8. Availability & Uptime
We aim to keep the Service available at all times but cannot guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, security, or other operational reasons. We will make reasonable efforts to notify you in advance.
9. Termination
You may cancel your account at any time from your account settings. We may suspend or terminate your access if you breach these Terms, without prior notice. Upon termination, your right to use the Service ceases immediately. Your data will be deleted within 30 days per our Privacy Policy.
10. Disclaimer of Warranties
The Service is provided "as is" without warranty of any kind, express or implied. We do not warrant that the Service will be error-free, secure, or available at any particular time. Your use of the Service is at your own risk.
11. Fraud Detection & Misuse
InvoiceEcho operates automated fraud detection systems that monitor account and invoice activity in real time. These systems flag or block behaviour that indicates potential misuse, including but not limited to: unusually high invoice volumes, high-value invoices from newly created accounts, and rapid targeting of many different recipients.
We take the integrity of our platform seriously and will continue improving these systems. However, no automated system is perfect, and we cannot guarantee that all fraudulent use will be caught. By using InvoiceEcho, you acknowledge and agree that:
- InvoiceEcho is not liable for any loss, harm, or damages suffered by you or any third party as a result of fraudulent, deceptive, or scam activity carried out by another user of the Service.
- You are solely responsible for the legitimacy and accuracy of every invoice and communication you send through the Service.
- Our automated systems may flag or block your account if suspicious patterns are detected. Flagged accounts will be reviewed and, if found to be in violation, permanently suspended without refund.
- We reserve the right to suspend or permanently ban any account we believe — at our sole discretion — is being used for fraudulent or deceptive purposes, with or without prior notice.
- We will cooperate fully with law enforcement investigations involving fraudulent use of the Service and will provide relevant account and activity data upon lawful request.

12. Limitation of Liability
To the maximum extent permitted by law, InvoiceEcho and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue, arising from your use of or inability to use the Service. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
13. Governing Law
These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of the applicable jurisdiction.
14. Changes to These Terms
We may update these Terms at any time. We will notify you of material changes via email or a notice on the site at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
